Terms & Conditions of Service

01. Acceptance of Terms & Contractual Capacity

These Terms and Conditions constitute a legally binding commercial agreement between Rythu Saradhi Solutions Private Limited ("Rythu Saradhi Solutions", "Poultry Saaradhi", "Company", "We", "Us", or "Our"), a private limited company registered at Anantapur, Andhra Pradesh, India, and the commercial poultry operator, farmer, integrator, or authorized representative ("Subscriber", "You", or "Your") accessing or using the Poultry Saaradhi mobile application, web application, APIs, or related software services (the "Platform").

Click-wrap and OTP Login Acceptance: By requesting or entering a One-Time Password (OTP), registering a company/farm account, paying a subscription fee, or otherwise using the Services, you confirm that you have read, understood, and unreservedly agreed to be bound by these Terms.

Authority: You expressly warrant that you are at least 18 years of age, legally competent under the Indian Contract Act, 1872, and duly authorized to represent and bind the poultry enterprise, partnership, company, or farm operation registered under the account.

02. Non-Veterinary & Zero Biological Mortality Disclaimer

1. Algorithmic Decision Support Only: All features, including the photo-based disease triage engine, the 40-day flock task schedule, vaccination templates, water medication dosage calculators, FCR benchmarks, and ambient heat stress alerts, are heuristic reference guides compiled from standard agricultural literature. They do NOT constitute medical diagnosis, clinical prescriptions, or disease eradication warranties.

2. Mandatory Licensed Veterinary Consultation: You expressly agree that before administering any prescription antibiotic, vaccine, anticoccidial, water sanitizer, or drastically changing feed rations, you shall consult a qualified, licensed veterinary doctor registered with the Veterinary Council of India (VCI) or state statutory body.

3. Absolute Flock Loss & Mortality Disclaimer: Commercial poultry rearing is subject to severe, unpredictable biological risks, including virulent epidemics (such as Avian Influenza / Bird Flu, Newcastle Disease / Ranikhet, Infectious Bursal Disease / Gumboro), hatchery genetic defects, feed mycotoxins, water pathogens, extreme weather, and sudden power outages. Under no circumstances shall Rythu Saradhi Solutions Private Limited be liable for livestock deaths, flock mortality, stunted growth, dropped FCR, or financial losses, whether or not the flock schedule was followed.

03. Subscription Plans, Invoicing, and Payment Terms

Access to the Platform is provisioned through commercial SaaS subscriptions billed in advance in Indian Rupees (INR ₹):

Taxes & GST: All quoted subscription rates are exclusive of Goods and Services Tax (GST). Statutory GST (18%) or applicable cess will be charged at checkout and reflected on your official tax invoice. The Subscriber is responsible for entering a valid GSTIN at registration to claim Input Tax Credit (ITC).

Authorized Payment Channels: Payments are processed via RBI-authorized payment aggregators (e.g., Razorpay), UPI, Net Banking, and major Debit/Credit cards. By selecting a payment method, you authorize Rythu Saradhi Solutions Private Limited and its payment gateways to charge the full subscription fee and applicable statutory taxes.

Renewal, Grace Period, and Service Suspension:

• Grace Period (Days 1 to 5): A courtesy 5-day grace window is provided following subscription expiration.
• Read-Only Transition (Day 6): If renewal payment is not captured by Day 6, the farm account transitions automatically to Read-Only Mode. Historical records and lifting tickets can be viewed and exported, but new daily entries or inventory additions are disabled.
• Account Suspension (Day 30): Accounts delinquent past 30 days are suspended from all mobile and web access.
• Account Archival (Day 90): Accounts delinquent past 90 consecutive days are queued for cold archival and potential deletion.

04. Strict No-Refund and No-Cancellation Policy

You explicitly acknowledge that no full, partial, or pro-rated refund will be granted under any circumstances, including:

1. Early lifting or early harvest of birds prior to the 42-day cycle.
2. Flock mortality, disease outbreak, heat mortality, or government culling orders.
3. Failure or omission of farm personnel to record daily entries or use available features.
4. Local farm mobile connectivity blackouts or smartphone device failures.
5. Voluntary cancellation or downgrade of your plan mid-cycle.
6. Suspension of an account due to violation of these Terms.

05. Independent Farm Commercial Transactions Disclaimer

1. Counterparty Risk & Bad Debts: The Subscriber bears 100% of all credit risks, default risks, bounced cheques, cash shortfalls, and weight disputes arising from dealings with bird traders, chicken retail shops, hatcheries, feed mills, or farm labour. Rythu Saradhi Solutions Private Limited bears zero liability for unpaid lifting balances or commercial trade disputes.

2. No Financial Guarantee: We do not verify, guarantee, or insure payments entered into the internal farm ledger, whether designated as Cash, Bank, UPI, Cheque, or Credit.

06. User Accounts, Roles, and Staff Delegation Liability

1. Authentication: Accounts are secured via Single-Use One-Time Password (OTP) dispatched to the registered mobile number. You are solely responsible for safeguarding control of your mobile phone and login sessions.

2. Staff Delegation (RBAC): The Company Admin can designate Farm Managers, Supervisors, and Accountants. The Subscriber is strictly liable for all entries, edits, deletions, financial claims, and fraudulent submissions made by authorized personnel assigned to their farm account. You must revoke staff access immediately upon employee termination.

07. Offline Synchronization and Device Data Security

1. Offline Cache: The mobile app provides offline entry caching for remote farm environments with erratic connectivity (`/sync/push`).

2. User Duty to Synchronize: The user is responsible for reconnecting to mobile data or Wi-Fi to synchronize pending queues. Rythu Saradhi Solutions Private Limited is not responsible for data loss caused by clearing application cache, uninstalling the app prior to synchronization, damaged devices, or tampered device clocks.

08. Intellectual Property and Commercial Ag-Data Rights

1. Company IP: The application, Flutter code, server architecture, disease advisory databases, algorithms, trademarks, and documentation are the exclusive intellectual property of Rythu Saradhi Solutions Private Limited.

2. Farm Data Ownership: The Subscriber owns their identifiable farm operational records (farm name, bird counts, specific voucher invoices).

3. Anonymized Aggregated Benchmarks: You grant Rythu Saradhi Solutions Private Limited a perpetual, worldwide, royalty-free license to compile, de-identify, and anonymize operational metrics (e.g., district-level FCR trends, mortality averages, temperature correlations) for machine learning model training, academic research, and industry benchmarking without disclosing your identity or farm location.

09. Absolute Limitation of Liability & Monetary Cap

UNDER ALL CIRCUMSTANCES, RYTHU SARADHI SOLUTIONS PRIVATE LIMITED'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL BE STRICTLY LIMITED TO THE LESSER OF:

• (A) THE ACTUAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR
• (B) INR ₹5,000 (INDIAN RUPEES FIVE THOUSAND ONLY).

10. Indemnification

You agree to indemnify, defend, and hold harmless Rythu Saradhi Solutions Private Limited, its directors, employees, and agents from any claims, suits, liabilities, losses, damages, or legal expenses arising from: (a) your breach of these Terms; (b) violation of animal husbandry, bio-security, or pharmaceutical regulations; or (c) disputes between you and third-party bird buyers, hatcheries, feed suppliers, or labour personnel.

11. Governing Law and Mandatory Arbitration

1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

2. Mandatory Arbitration: Any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by Rythu Saradhi Solutions Private Limited. The seat, venue, and place of arbitration shall be Anantapur (Ananthapuramu), Andhra Pradesh, India. The language of arbitration shall be English or Telugu.

3. Judicial Jurisdiction: Subject to arbitration, the courts situated in Anantapur, Andhra Pradesh, India shall possess exclusive jurisdiction.
